If you have another DC then just install W2K, restore the system state
and reboot. Do an install of Exchange with the /disasterrecovery
switch and then restore the databases after SPing to taste.
If you don't have another DC then shame on you and you'll have to do
an authoratative restore, which is the same as above with an extra
step or two. Read the Whitepapers from Microsoft as a very first step.
You can't hope to know how to DR restore Exchange and W2K if you
haven't read everything that Microsoft offer and a few things besides.
