ForestPrep, preps your forest and DomainPrep, preps your domain :-)
Heres a link that should help explain what they both do and why you need
them:

| if you want to prepare your forest/domain before you actually install
Exchange 2000, you can run setup with these switches. It extends and
modifies the schema...there are several technet articles on it...one of them
is Q274737...

Exchange 2000 has to be installed into a Win2K Domain with Active
Directory. Active Directory has a "schema" which describes all the
objects in it. /forestprep and /domainprep extend the schema with
descriptions of Exchange 2000 objects.
You do not need to run forestprep and domainprep seperately if you are
installing Exchange 2000 into a single forest/single domain Active
Directory domain.

It's not a good idea to cross-post to so many groups, by the way.
