Here are my thoughts:

1. Learn the language, either C# or VB.
2. Study ADO.NET since all the .NET exams seem to have questions from
ADO.NET
3. Go first with 70-316 / 70-306 (Windows App), you will learn more about
C#/VB, the .NET Framework, etc.
4. Take 70-315 / 70-305. Since you already know the language, ADO.NET and
how to work with MSDEV.NET you only have to study ASP.NET.
5. Finally take 70-320. You already know the language, ADO.NET, ASP.NET,
etc. You just need to learn about Web Services.

Just my $0.02.

Danut

PS Of course there are other fields and areas you need to study besides
ADO.NET, ASP.NET, WebServices, etc.
