Author Windows XP Pro upgrade "license only"?

If it does not say "license only"

Then it is pretty sure it is the the Upgrade? I only ask because of the price I saw it for about $100

This is DELL so its not like a schetchy dealer or something.

Just wanted to make sure that if it is the license then it would say "license only"
